- catalog abstract "Asset complementarities create opportunities for firms to combine or share assets. Traditionally, the economics literature has focused on the binary decision of whether to integrate or transact in the market. However, combining or sharing assets can be achieved through many different types of arrangements between firms. When one party is better informed about the benefits of integration, takeovers may not accomplish all efficient integration. We offer simple models of equity transactions which support product market interactions and thereby alleviate asymmetric information problems. Empirical evidence from nonfinancial interfirm private placements of equity is consistent with our theory. Product market interactions accompany these private placements of equity. Further, the fraction of equity placed is positively related to the value created by these transactions.".
